Capgemini to buy WNS for $3.3bn in Agentic AI drive

French consulting giant Capgemini said it has agreed to acquire global outsourcing firm WNS for $3.3 billion in cash in an effort to expand its presence in artificial intelligence (AI).

Capgemini said the deal would create “a leader in Intelligent Operations to capture enterprise investment in Agentic AI.”

The French firm hailed the acquisition of “a leading player in Digital BPS (Business Process Services) to combine capabilities and scale to address the strategic opportunity driven by Agentic AI.”

Capgemini is offering to buy WNS for $76.50 per share in cash — a premium of 17% to the last WNS closing share price on July 3, 2025.

The transaction has been unanimously approved by both Capgemini’s and WNS’ boards of directors.

Capgemini CEO Aiman Ezzat said: “Enterprises are rapidly adopting Generative AI and Agentic AI to transform their operations end-to-end.
